Terms & Conditions

These Terms & Conditions apply to all B2B transactions conducted via www.netcargofoods.com.

1. Definitions

  • Company: NetCargo Foods & Beverages Ltd
  • Customer: Any business entity purchasing products
  • Products: Food and beverage items sold via the Website
  • Order: A confirmed B2B purchase request

2. Eligibility (B2B Only)

  • Sales are strictly business-to-business (B2B)
  • Consumers (B2C) are not eligible
  • Customers confirm they are acting in a commercial capacity

Consumer protection laws (e.g. Consumer Contracts Regulations) do not apply.

3. Orders

  • Orders are subject to acceptance by NetCargo Foods & Beverages Ltd
  • We reserve the right to reject or cancel orders due to stock availability, pricing errors, or compliance issues
  • Orders become binding only after written order confirmation

4. Pricing & VAT

  • All prices are exclusive of VAT, unless stated otherwise
  • VAT is charged at the applicable UK rate
  • Prices may change without prior notice

5. Minimum Order Quantities (MOQ)

  • Certain products may be subject to minimum order quantities
  • MOQs will be clearly stated on the product or quotation

6. Payment Terms
Accepted payment methods include:

  • Bank transfer
  • Approved online payment gateways
Unless otherwise agreed:
  • Payment is required in full before dispatch
  • Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998

7. Delivery & Logistics

  • Delivery times are estimates only
  • Risk of loss or damage transfers to the customer upon dispatch
  • Delivery delays caused by couriers, customs, port congestion, or force majeure are not our liability

Customers must inspect goods upon delivery and notify us of any issues within 48 hours.

8. Title & Risk

  • Ownership of goods remains with NetCargo Foods & Beverages Ltd until full payment is received
  • Risk passes to the customer once goods leave our warehouse

9. Returns & Claims

  • Due to the nature of food products, returns are not accepted unless goods are defective or incorrectly supplied
  • Claims must be submitted in writing within 48 hours of delivery, including photographic evidence

10. Product Compliance

  • Customers are responsible for ensuring products meet local regulatory, labelling, and import requirements in their destination country
  • We are not liable for non-compliance outside the UK unless agreed in writing

11. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including:

  • Natural disasters
  • Port or shipping disruptions
  • Government restrictions
  • Supplier failures

12. Intellectual Property

All website content, trademarks, and materials remain the property of NetCargo Foods & Beverages Ltd.

13. Limitation of Liability

Our total liability shall not exceed the value of the goods supplied under the relevant order.

We are not liable for:

  • Indirect or consequential losses
  • Loss of profits or business
  • Product misuse or improper storage by the customer

14. Termination

We reserve the right to suspend or terminate customer accounts for breach of these Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales.
Courts of England and Wales shall have exclusive jurisdiction.
